ARTICLE I – Name and Purpose
The name is Mid Valley Trail Club, Inc. The club was organized March 26, 2006, and incorporated November 21, 2011. The purpose of the Mid Valley Trail Club, Inc. (the Club) is exclusively for charitable and educational purposes under section 501(c)(3) of the Internal Revenue Code. The charitable and educational purposes include:
1) Maintain a system of trails for the use of snowmobiles, dog mushers, skiers, and others.
2) Promote good conduct, sportsmanship, safety and conservation practices.
3) Promote and maintain good relations with landowners and governmental agencies.
4) Perform all desirable and lawful functions for the successful operation of the Club and in the general public interest.
ARTICLE II - Membership
Section 1 Membership
Membership shall be open to all persons over 18 years of age who are interested in recreational trail use and are willing to abide by the purposes and bylaws of the Club. Applications for membership shall be made in writing addressed to the Club on the appropriate form containing an agreement to abide by the Bylaws of the Club. The Bylaws will be posted on the club website. The board of directors will be responsible for approvals of all requests for membership. Membership term shall run Jan 1 to Dec 31. Each member over 18 years shall have one vote. The annual dues for membership and time for payment will be set by the board of directors. A member may resign from the club at any time. Membership in the Club may be terminated for non-payment of dues or by majority vote of the Board of Directors for other reasons consistent with the Club’s best interest.
Section 2 Membership Meetings
The board of directors shall establish membership meeting dates as required. Members should be notified by telephone, e-mail or in writing at least 1 week in advance of general membership meetings. A quorum for voting purposes at general membership meetings shall be the numbers of members present.
ARTICLE III - Management
Section 1 Board of Directors.
1) The club shall be governed by a Board of Directors. The Board of directors shall consist of the Clubs’ officers. The officers shall include: President, Vice-President, Secretary, and Treasurer.
2) The duties of the board shall include:
a. Conduct the business of the Club, and manage and maintain the equipment and property of the club.
b. Approve purchases and contracts made on behalf of the Club.
c. Act on issues of membership, including
i. Revocation of membership in instances of disruptive, abusive or violent behavior at club meetings or functions.
ii. Club officers who fail to perform as required
3) If one of the members is unable to fulfill the obligations of their position for any reason, the board shall be authorized to appoint a temporary replacement until such time as a permanent replacement may be nominated and voted on.
4) The board shall have authority to create and abolish club committees. Committee Chairpersons shall be required to report to the Board of Directors Meetings.
5) Any person holding a position in the club, whether elected, appointed, or volunteer is required to be a dues paying member.
Section 2 Meetings
The Board shall have meetings on an as needed basis. Any member of the board may call for a meeting by notifying other members and giving as much prior notice as possible. A quorum for board meetings shall be three members.
ARTICLE IV - DUTIES OF OFFICERS
Section 1 President
1) Principal executive and administrative officer of the club.
2) Shall oversee and supervise all business and affairs of the club
3) Shall preside at all meetings of the membership and Board of Directors.
4) Shall oversee and coordinate committees and as such shall be an ex officio member of all such committees.
5) May sign with another officer of the club any deeds, mortgages, bonds, contracts or other instruments authorized by the directors of the membership unless expressly delegated by the Board of Directors to the membership or to some other officer or agent of the club.
6) In general, perform all duties incident to the office of the President and such other duties as may be prescribed by the membership or the directors.
Section 2 Vice President
1) Principal executive officer of the club in the absence of the President.
2) Shall have all of the duties and responsibilities of the President in his or her absence.
3) Shall perform other duties as assigned by President and Board of Directors.
Section 3 Secretary
1) Shall keep the minutes of club meetings, including keeping a correct and complete record of proceedings, making the minutes available to members, reading of minutes of prior meetings, and taking attendance. The secretary shall call meetings to order in the absence of the president and vice president and shall occupy the chair while the assembly elects a chairman pro-tem.
2) Maintain a list of committees.
3) Shall see that all notices are duly given
4) Shall be the custodian of all papers and official documents of the club and shall make them available to members as needed or directed.
5) Shall maintain a current membership list.
Section 4 Treasurer
1) Shall have charge & custody of and be responsible for all funds and securities of the club.
2) Shall receive and give receipts for money due and payable to the club from any source whatsoever.
3) Shall be responsible for billing
4) Shall be authorized to open and close bank accounts as authorized by the Board of Directors.
5) Shall be the custodian of a duplicate set of the club record.
6) Required to submit a written report of debts and credits at each general meeting which will be read orally. A copy of this report will be given upon request to any member.
7) Shall file yearly tax return for the club if required.
Section 6 Elections and Terms
Nominations shall be made at a general meeting in the spring. Elections shall take place by majority vote of members present at this meeting. Each officer and member at large shall be elected for a term length of 1 years.
ARTICLE V - CONDUCT OF CLUB BUSINESS
1) All members and officers of the club shall be considered volunteers and shall not receive payment for their services as members, officers, or as members of any committees.
2) No officer or member shall contract any debts for or against the club except as authorized by the by laws or the board of directors. Any expenditure shall require signatures of two officers for approval.
3) Any capital improvements shall be approved by majority vote of the assembly at a regular meeting.
4) The club shall operate at all times with a balanced budget.
5) These by-lays may be altered or amended by a two-thirds affirmative vote of membership present at a general meeting.
6) The fiscal year of the club shall be Jan 1 thru Dec 31.
7) The club may be voluntarily terminated following a two-thirds majority favorable vote of members present at a regular meeting. Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the State of Alaska or to a local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the borough in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
